Overview

This session will discuss the roles and responsibilities of a governance board member compared to a management team member. It will also use real-world case examples to demonstrate board activities in different situations.

Objectives

At the conclusion of this session, participants will:

- describe examples of management functions compared to governance duties
- discuss why management and governance roles must be separated to meet external requirements and achieve organizational goals

Speakers

Susan Freed is a shareholder with Dentons Davis Brown. With more than 20 years of experience representing health care providers and plans, Freed has a deep understanding of the health care industry. She helps health care providers and health plans operate successfully in a challenging regulatory and reimbursement landscape.

Doug Morse is a former rural hospital CEO who helps leaders and boards achieve exceptional scorecards and strong community support through one-on-one coaching, entrepreneurship training seminars and mission discernment processes for key decisions. The author of “You Got This: How to Make Big Decisions at Small Hospitals,” Morse was twice recognized as a college faculty teacher of the year and was recognized with the Iowa Hospital Association’s Young Executive Achievement Award.

For cancellations received in writing before the established deadline date, the registrant will receive a full refund — minus a $50* processing fee per registrant. After the deadline date, no refunds will be granted. Registrants not in attendance will be responsible for the full registration fee. Substitutions are encouraged.
